INFORMATION REQUIRED IN THE SECTION 10(a) PROSPECTUS
This Registration Statement on Form S-8 is being filed for the purpose of registering an additional 1,439,001 shares of common stock, par value $0.001 per share (Common Stock) of Ikena Oncology, Inc. (the Registrant) to be issued under the Registrants 2021 Stock Option and Incentive Plan (the 2021 Plan). The number of shares of Common Stock reserved and available for issuance under the 2021 Plan is subject to an automatic annual increase on each January 1, beginning in 2022, by four percent (4%) of the number of shares of Common Stock issued and outstanding on the immediately preceding December 31 or such lesser number of shares of Common Stock as determined by the Companys compensation committee of the board of directors. Accordingly, on January 1, 2022, the number of shares of Common Stock reserved and available for issuance under the Plan increased by 1,439,001
These additional shares are of the same class as other securities relating to the 2021 Plan for which the Registrants Registration Statement on Form S-8 (File No. 333-254858) filed with the Commission on March 30, 2021 is effective.
Pursuant to General Instruction E to Form S-8, the contents of the Registration Statement on Form S-8 (File No. 333-254858) filed with the Commission on March 30, 2021 is incorporated by reference except to the extent supplemented, amended or superseded by the information set forth herein.
